Acquirer of the Remington firearms business in the 2020 bankruptcy; holder of the trade name and manufacturing license under the Remington trademark
According to the Verified Complaint, Roundhill Group LLC is, upon information and belief, a Delaware limited liability company with its principal place of business in Pennsylvania, “which holds the trade name and a license to manufacture firearms under the Remington trademark.” (Verified Complaint ¶13.) In the 2020 Remington Outdoor Company bankruptcy, Roundhill acquired the firearms business, including the historic Ilion, New York plant, and the business has since operated as RemArms, LLC.
Roundhill’s Delaware complaint against Ripley, Mulford Waldrop, Frank D. Foley III, and Jack Foley asserts breach of the parties’ NDA and seeks emergency injunctive relief. The filings from that action will be added to this repository as they are obtained, so that Roundhill’s claims can be read in its own words.
In the Troup County action, Roundhill is named in Count I (fraud in the inducement), Count XI (declaratory judgment that the NDA is unenforceable as to the facts alleged), and the counts pleaded against all defendants, including civil conspiracy and Georgia RICO. The complaint’s broader theory — that the enterprise was operated through deliberately opaque entity structures to the detriment of creditors and investors — is an allegation Roundhill is entitled to contest.
